Terms of Service

The rules governing your use of Synapse OS and our AI infrastructure services.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Synapse OS website, applications, and AI infrastructure services (the “Services”). By creating an account, using the Services, or subscribing to a paid plan, you agree to be bound by these Terms.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, you must not use the Services.

2. Account Registration and Security

To access certain features, you must register an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify us immediately of any unauthorised use or security breach. We are not liable for any loss or damage arising from your failure to protect your account.

3. Subscriptions, Billing, and Cancellation

Synapse OS offers free and paid subscription plans. Paid plans are billed through Stripe and may be offered on a monthly or annual basis, including any applicable trial period.

  • Billing: You authorise us to charge your chosen payment method for all applicable fees. Fees are non-refundable except where required by law or as explicitly stated in these Terms.
  • Trials: If a trial is offered, you will be billed automatically when the trial ends unless you cancel before the trial expiry date.
  • Cancellation: You may cancel your subscription at any time through the billing portal in your account settings or the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.
  • Price changes: We may change subscription fees upon notice. Changes apply to the next billing period after the change takes effect.
  • Delinquent accounts: We may suspend or downgrade access if payment cannot be processed.

4. Acceptable Use and Token Tools

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the API proxy firewall, token optimisation tools, or context-pruning features to process, transmit, or store illegal, harmful, infringing, or abusive content;
  • Circumvent rate limits, subscription tiers, access controls, or security measures;
  • Reverse engineer, decompile, or attempt to extract the source code of the Services except where permitted by law;
  • Use the Services to send unsolicited or unauthorised communications, malware, or security probes;
  • Interfere with or disrupt the integrity, performance, or availability of the Services or third-party systems;
  • Misrepresent your identity, impersonate others, or provide false information.

We reserve the right to suspend or terminate accounts that violate these rules or that create legal, security, or operational risk.

5. Your Content and Data

You retain ownership of any content or data you submit through the Services. You grant us a limited licence to process, store, and transmit that content solely to operate, secure, and improve the Services.

You are responsible for ensuring that your content and use of the Services comply with applicable laws, including data protection and intellectual property laws. We do not claim ownership over your outputs, prompts, or underlying models.

6. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

To the maximum extent permitted by law, Synapse OS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, including but not limited to loss of data, revenue, or business interruption.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to liability, or one hundred euros (€100), whichever is greater.

7. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any breach of these Terms or for any other reason at our sole discretion.

Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination shall continue to apply, including ownership, disclaimers, and limitation of liability.

8. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of laws provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Ireland, and you submit to the personal jurisdiction of those courts.

9. Changes to These Terms

We may modify these Terms from time to time. The updated Terms will be posted on this page with a revised “Last updated” date. Material changes will be communicated through the Services or by email where appropriate.

Your continued use of the Services after any changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services.
